Hydrogenics Announces Proposed Public Offering of Common Shares
Mississauga, Ontario – December 7, 2015 – Hydrogenics Corporation (NASDAQ: HYGS; TSX: HYG) (the “Company”) today announced that it has commenced an underwritten public offering of $15.0 million of common shares (the “Offering”). In addition, the Company intends to grant the underwriters an option to purchase additional shares equal to up to 15% of the aggregate number of shares to be sold in the Offering.
Craig-Hallum Capital Group LLC is acting as sole book-running manager for the proposed Offering. Roth Capital Partners is acting as co-manager for the proposed Offering. The proposed Offering will be subject to customary conditions, including the approval of the Toronto Stock Exchange and the NASDAQ Global Market, and there can be no assurance as to whether or when the proposed Offering may be completed, or as to the actual size or terms of the Offering.
The Offering is being conducted pursuant to the Company’s effective shelf registration statement on Form F-10 filed with the U.S. Securities and Exchange Commission (the “SEC”). The proposed offering will be made only by means of a preliminary prospectus supplement, a final prospectus supplement and the accompanying short form base shelf prospectus.
